Terms and Conditions

Effective Date: 1/20/2026

These Terms and Conditions govern all cleaning services provided by Middlesex ProClean LLC (“Company,” “we,” or “our”) to the client (“Client”).

1. Scope of Services

The Company provides commercial cleaning services including but not limited to:

office cleaning

restroom sanitation

trash removal

floor cleaning and vacuuming

surface disinfection

common area maintenance

Specific services, schedules, and pricing will be outlined in the service agreement or proposal provided to the Client.

Services outside the agreed scope may require additional charges.

2. Service Access

The Client agrees to provide safe and reasonable access to the premises during scheduled service times.

If cleaners are unable to access the premises at the scheduled time, the Company reserves the right to charge a service call or missed appointment fee.

3. Client Responsibilities

The Client is responsible for:

securing valuables, confidential documents, and fragile items

providing safe working conditions

notifying the Company of hazardous materials or restricted areas

The Company is not responsible for damage to items that are improperly secured or previously damaged.

4. Cleaning Standards

The Company performs cleaning services using industry standard procedures and commercially available cleaning products.

While the Company strives to provide high-quality cleaning services, the Company does not guarantee the complete removal of all stains, bacteria, allergens, or contaminants.

Cleaning services reduce contamination but do not constitute sterilization or medical sanitation services.

5. Medical and Laboratory Facilities

When cleaning medical or laboratory environments:

employees will only clean approved surfaces and common areas

the Company will not handle biohazard waste, sharps containers, or medical waste unless specifically contracted and properly certified

Clients remain responsible for compliance with all medical waste regulations.

6. Chemicals and Safety

The Company uses professional cleaning products and equipment in accordance with safety guidelines recommended by the Occupational Safety and Health Administration and the Centers for Disease Control and Prevention.

Clients may request the use of specific cleaning products, subject to availability and safety considerations.

7. Payment Terms

Payment terms will be specified in the service agreement or invoice.

Unless otherwise agreed:

invoices are due within 15 days of issuance

late payments may incur a late fee of 5% per month

the Company reserves the right to suspend services for unpaid balances

8. Service Cancellation

Either party may terminate the service agreement with 30 days written notice, unless otherwise stated in the contract.

Immediate termination may occur if:

unsafe working conditions exist

illegal activity occurs on the premises

repeated payment defaults occur

9. Liability Limitation

To the fullest extent permitted by law, the Company’s liability for damages related to cleaning services shall not exceed the amount paid for the specific service that resulted in the claim. The Company shall not be liable for indirect, incidental, or consequential damages.

10. Insurance

Middlesex ProClean LLC maintains commercial liability insurance for damages resulting from negligence during cleaning operations.

Proof of insurance can be provided upon request.

11. Force Majeure

The Company shall not be responsible for delays or failure to perform services due to circumstances beyond reasonable control, including:

severe weather

natural disasters

government restrictions

power outages

12. Governing Law

These Terms and Conditions shall be governed by the laws of the

Massachusetts.

Any disputes shall be resolved in the courts located within the Commonwealth of Massachusetts.

13. Acceptance of Terms

By engaging Middlesex ProClean LLC for cleaning services, the Client acknowledges that they have read, understood, and agree to these Terms and Conditions.
